# Shaanxi Natural Gas: Shareholder transfer of 13% equity approved by state-owned assets, transaction pending Shenzhen Stock Exchange review

On August 18, 2025, Shaanxi Natural Gas's controlling shareholder, Shaanxi Gas Group, signed a "Share Transfer Agreement" with China Communications Capital and Huitong Capital, intending to transfer 144,569,808 shares at a price of 7.97 yuan per share, accounting for 13% of the total shares of the company. After the transaction is completed, Shaanxi Gas Group's shareholding will decrease from 64.43% to 51.43%, while China Communications Capital and Huitong Capital will hold 7% and 6%, respectively. Recently, Shaanxi Natural Gas received approval from Shaanxi State-owned Assets Supervision and Administration Commission for the transfer. Currently, the transaction still requires review by the Shenzhen Stock Exchange, and the transfer registration will be processed after the confirmation documents are obtained. The company will continue to disclose progress and remind investors to pay attention to risks
