These Ordinary Shares will be under lockup for 185 days starting from 22-MAY-2025 to 23-NOV-2025.</p><p>  Details:<br/> Without the prior written consent of each of the Company, the Joint Sponsor-Overall Coordinators and the Joint Sponsors, each of the Cornerstone Investors has agreed that it will not, whether directly or indirectly, at any time during the period of six months from and including the Listing Date (the ?Lock-up Period?), dispose of any of the Offer Shares it has subscribed for pursuant to the respective Cornerstone Investment Agreement, save for certain limited circumstances, such as transfers to any of its wholly-owned subsidiaries who will be bound by the same obligations of the Cornerstone Investor, including the Lock-up Period restriction.</p><p>Under the Hong Kong Underwriting Agreement, each of our co-founders has jointly and severally undertaken to each of the Joint Sponsors, the Joint Sponsor-Overall Coordinators, the Joint Overall Coordinators, the Joint Global Coordinators, the Joint Bookrunners, the Joint Lead Managers, the Capital Market Intermediaries and the Hong Kong Underwriters that, without the prior written consent of the Joint Sponsors and the Joint Sponsor-Overall Coordinators (for themselves and on behalf of the Hong Kong Underwriters), at any time after the date of the Hong Kong Underwriting Agreement up to and including the date falling nine months from the Listing Date (the ?Nine-Month Period?), our co-founders will not, and will procure that the relevant registered holder(s), any nominee or trustee holding on trust for him and the companies controlled by him will not: (1) sell, offer to sell, accept subscription for, contract or agree to allot, issue or sell, mortgage, charge, pledge, hypothecate, lend, grant or sell any option, warrant, contract or right to purchase, grant or purchase any option, warrant, contract or right to sell, or otherwise transfer or dispose of or create an encumbrance over, or agree to transfer or dispose of or create an encumbrance over, either directly or indirectly, conditionally or unconditionally, any Shares or other securities of the Company or any interest therein (including, without limitation, any securities convertible into or exchangeable or exercisable for or that represent the right to receive, or any warrants or other rights to purchase, any Shares or any such other securities, as applicable or any interest in any of the foregoing), or deposit any Shares or other securities of the Company with a depositary in connection with the issue of depositary receipts; or (2) enter into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership (legal or beneficial) of any Shares or other securities of our Company or any interest therein (including, without limitation, any securities convertible into or exchangeable or exercisable for or that represent the right to receive, or any warrants or other rights to purchase, any Shares or any such other securities, as applicable or any interest in any of the foregoing); or (3) enter into any transaction with the same economic effect as any transaction described in sub-paragraphs (1) or (2) above; or (4) offer or agree to or announce any intention to enter into, any transaction described in sub-paragraphs (1), (2) or (3) above, in each case, whether any such transaction described in sub-paragraphs (1), (2) or (3) above is to be settled by delivery of Shares or other securities of the Company or in cash or otherwise, and whether or not the transactions will be completed within the Nine-Month Period.</p></div></div>
