<div id="readability-page-1"><div><p><span>(Platts)--05Dec2025/602 pm EST/2302 GMT     **Companies to divest three power plants for DOJ approval     **Combined portfolio to total 60,000 MW of capacity     Constellation Energy said Dec. 5 it reached a deal with the US Justice Department on the conditions to complete its $26.6 billion acquisition of independent power producer Calpine, marking the final regulatory step in the combination of the two companies.     As part of the agreement, the companies agreed to divest Calpine's 828-MW natural-gas fired York 2 Energy Center in Pennsylvania and the 605-MW gas-fired Jack A. Fusco Energy Center (Brazos Valley) near Houston. They will also divest a minority stake in the 385-MW Gregory Power Plant near Corpus Christi, Texas.     The companies had previously agreed to divest four plants totaling more than 3,500 MW, all located in the PJM Interconnection region, to receive approval of their combination from the Federal Energy Regulatory Commission, which they received in July. The deal was also approved by state regulators in New York and Texas.     &#34;We thank the department for its professionalism and tireless work reviewing this transaction through these many months,&#34; Constellation President and CEO Joseph Dominguez said in a Dec. 5 statement. &#34;It's now time for us to complete the transaction, welcome our new colleagues from Calpine, and together begin our journey to light the way to a brilliant tomorrow for all.&#34;     When announced, the companies said their combined portfolio would total about 60,000 MW of operating capacity, including more than 31,000 MW of gas-fired power plants and 22,000 MW of nuclear plants.
