# SEVEN ELEMENTS plans to spend no more than HKD 10 million to acquire an asset management company

According to the Zhitong Finance APP, SEVEN ELEMENTS (01660) announced that on December 23, 2025, the company plans to acquire 100% of the issued share capital of Legend Arb Advisors Limited from Legend Arb Financial Group Limited. The consideration amount shall not exceed HKD 10 million.

The target company mainly engages in asset management and securities consulting business and is licensed by the Hong Kong Securities and Futures Commission to conduct regulated activities under the Securities and Futures Ordinance, including Type 4 (advising on securities), Type 5 (advising on futures contracts), and Type 9 (asset management). As of June 30, 2025, the net assets of the asset management company were approximately HKD 4.3 million.

The board believes that this acquisition of the asset management company provides a low-cost entry point for the group to enter the financial services industry and build a diversified financial platform. In addition, the asset management company currently operates an open-end fund company in Hong Kong, managing assets of approximately HKD 27 million (hereinafter referred to as the "Fund"), with an operational history of about 4 years. The Fund also holds a Qualified Foreign Institutional Investor (QFII) license, allowing direct investment in the mainland Chinese market. The company believes that this license will help provide more distinctive product services to potential clients
