Total deposits were $1.47 billion at December 31, 2025, compared to $1.45 billion at December 31, 2024, a 1.8% year-over-year increase. This growth was mainly due to an increase in money market accounts, partially offset by declines in time deposits and savings accounts. Noninterest-bearing demand deposits constituted 25.5% of total deposits at December 31, 2025, down from 26.1% at December 31, 2024. Brokered deposits were $23.1 million at December 31, 2025, decreasing from $35.1 million at December 31, 2024. 

### Stockholders’ Equity and Dividends (as of December 31, 2025 vs. December 31, 2024)

#### Stockholders’ Equity

Stockholders’ equity was $229.6 million at December 31, 2025, up 9.1% from $210.6 million at December 31, 2024. This increase was primarily due to higher retained earnings and a decrease in the unrealized loss on the available-for-sale investment portfolio. Book value per share was $28.26 at December 31, 2025, compared to $26.08 at December 31, 2024. 

#### Tangible Stockholders’ Equity

Tangible stockholders’ equity was $188.7 million at December 31, 2025, compared to $168.6 million at December 31, 2024. Tangible book value per share was $23.22 at December 31, 2025, compared to $20.88 at December 31, 2024. 

#### Dividends Declared

The Company declared cash dividends of $0.84 per share, totaling $6.8 million, for the twelve months ended December 31, 2025. For the same period in 2024, cash dividends were $0.80 per share, totaling $6.5 million.

Middlefield Banc Corp. expects to close its merger with Farmers National Banc Corp. in the first quarter of 2026. The company believes this combination will create meaningful opportunities for its customers, employees, and shareholders.
