YANKUANG ENERGY's Australian-listed subsidiary, YANCOAL AUS, announced plans to acquire up to an 80% stake in the Falcon coking coal mine in Queensland for a maximum of $2.4 billion, further expanding its portfolio of high-quality overseas coking coal assets.

According to an announcement filed by YANCOAL AUS with the Australian Securities Exchange, the transaction involves acquiring 100% of the equity in Falcon Group, thereby indirectly holding an 80% stake in the Falcon coal mine. The consideration comprises a $1.55 billion upfront payment plus contingent payments of up to $550 million, bringing the total maximum consideration to $2.4 billion.

The transaction is expected to be completed by the end of the third quarter of this year, pending approval from relevant regulatory authorities. This acquisition represents a significant step in YANKUANG ENERGY's ongoing strategy to deepen its overseas resource layout, aiding in the further integration of high-quality coking coal assets.

Bolstering Presence in Premium Global Coking Coal Regions

The Falcon coal mine is situated in the Bowen Basin of Queensland, one of the world's most important regions for metallurgical (coking) coal production, with its output supplied to major steelmakers globally. Previously, the mine was held by a joint venture comprising EMR Capital and Adaro Capital. In 2018, this joint venture acquired an 80% stake in the Falcon mine from Rio Tinto for $2.25 billion, while Mitsui & Co. retained the remaining 20%.

YANCOAL AUS serves as the Australian listed platform for the YANKUANG ENERGY Group, currently operating multiple thermal and coking coal mines in New South Wales and Queensland.

This acquisition continues the YANKUANG group's sustained investment strategy in Australian coal assets. Upon completion, YANCOAL AUS will secure a key strategic foothold in the Bowen Basin, a premier region for prime coking coal, further reinforcing its position within the global coking coal supply chain.
