The latest announcement is out from Tenaris SA ( (TS) ).

On May 12, 2026, Tenaris shareholders met in an extraordinary general meeting in Luxembourg and approved the cancellation of 62,355,174 treasury shares acquired under its third share buyback program, which ran from June 9, 2025, to March 3, 2026. This move reduced the company’s issued share capital from US$1.072 billion to about US$1.010 billion, consolidating the equity base into 1,009,639,756 ordinary shares and effectively enhancing the relative stake of remaining shareholders.

Shareholders also approved an amendment to article 5 of Tenaris’s articles of association to align the stated share capital with the new structure while maintaining an authorized capital ceiling of US$2.5 billion. The updated provisions preserve broad flexibility for the board to issue new shares and bonds, define when pre-emptive rights apply or can be waived, and support future capital-raising or employee incentive plans within set limits, reinforcing Tenaris’s ability to manage funding and governance over the medium term.
