In an investor statement on Friday, the Shenzhen-based company said it has sued in a Guangdong court, demanding the restoration of full control over Nexperia and 8 billion yuan (US$1.17 billion) in compensation. In September 2025 the Dutch government issued an order to take control of Nexperia away from Wingtech. While the order was later suspended, Wingtech’s control over Nexperia remained “restricted” as a parallel Dutch court ruling remained in force, according to the statement. The measures, carried out by Nexperia and its executives, constitute “discriminatory restrictive measures” under China’s Anti-Foreign Sanctions Law, Wingtech argued. In response to the lawsuit, Nexperia said on Friday it had “repeatedly and explicitly invited the leadership of Wingtech to engage in an open dialogue to come to a solution which benefits all parties”, adding that the new litigation did not “demonstrate a constructive attitude despite all our … previous efforts”. Wingtech’s shares on the Shanghai Stock Exchange have been under a delisting risk warning since May 6, after its auditor issued a “disclaimer of opinion” due to audit scope limitations, citing inability to verify the financial records of Nexperia’s overseas operations. The move followed disruptions in Wingtech’s operations in March when Nexperia China accused the Dutch headquarters of “mass disabling” of the office accounts of all employees in China. The company could be forced to delist if the issues are not resolved by the end of 2026. The Nexperia statement said the actions of its China entities – which included not accepting wafer deliveries, refusing payments to other Nexperia entities, misappropriating corporate seals and establishing unauthorised bank accounts – had caused “severe disruptions” to operations. The ongoing power struggle has impacted Wingtech’s financial performance. The firm reported a 94 per cent plunge in first-quarter revenue to 816 million yuan, after the offshore business was no longer consolidated in the financial results. It reported a net loss of 189 million yuan in the first quarter, swinging from a net profit of 261 million yuan in the same period a year ago. That followed an 8.7 billion yuan net loss for the full year of 2025, while annual revenues fell 58 per cent to 31 billion yuan.
