# The merger and acquisition restructuring has made new progress, and OFILM is integrating resources to open up new space for strategic synergy

Recently, OFILM announced that the company plans to acquire 28.2461% equity of OFILM Microelectronics held by Nanchang Chanmeng Investment Management Co., Ltd. through the issuance of shares. The Mergers and Acquisitions Review Committee of the Shenzhen Stock Exchange has reviewed the application for this transaction, concluding that it meets the restructuring conditions and information disclosure requirements, but it still needs to obtain approval for registration from the China Securities Regulatory Commission.

The market is highly concerned about the industrial logic behind this merger and acquisition. As the demand for perception capabilities in emerging fields such as robotics and AI terminals continues to rise, the optical industry has gradually shifted from competition in single components to competition in system capabilities. Research and development capabilities, manufacturing processes, and industrial synergy capabilities are becoming important factors for companies to build competitive barriers. After the transaction is completed, OFILM Microelectronics will become a wholly-owned subsidiary of OFILM, which is expected to further enhance the resource integration efficiency of the listed company, strengthen business synergy capabilities, and form a technological closed loop and strong support for the three major business segments of smartphones, automotive electronics, and new fields, opening up new space for strategic synergy.

As a leading manufacturer in the optical and optoelectronic industry, OFILM has become a domestic provider of deep camera system solutions for machine vision, launching various mature perception solutions such as monocular, binocular, and iToF. The company plans to launch a humanoid robot vision perception product architecture combination solution in 2025, constructing a comprehensive vision perception system from head to wrist, providing core support for the operation of high-precision and high-reliability humanoid robots, and intensifying its layout in the humanoid robot market. As early as 2022, OFILM proactively laid out the robotics track, deeply collaborating with leading industry clients to launch the Misense vision module, laying the foundation for enhancing the visual perception capabilities of robots.

The leading visual perception system of OFILM is designed with the core concept of "comprehensive perception + high-performance imaging," integrating five RGB cameras, one ToF depth camera, a dedicated processing computing unit, IMU, and built-in AI completion algorithms, achieving precise coverage in layout: the front eye area is equipped with two wide-angle surround RGB cameras to ensure no blind spots in the forward view; the rear view area is configured with one ultra-wide-angle surround RGB camera to supplement rear environmental perception; and the nose and mouth position innovatively integrates an AI binocular camera + ToF depth camera RGBD solution to achieve high-precision recognition and ranging at close distances.

This solution has specific technical advantages such as comprehensive surround visual perception recognition, high frame acquisition capability, compact design, high-definition high dynamic imaging, high-precision depth perception, and AI completion algorithms, breaking through the intelligent perception and understanding of the environment by humanoid robots in complex scenarios, fully meeting the demands of complex scenes, and achieving stronger interaction capabilities and environmental adaptability for humanoid robots.

For refined operational scenarios such as hand grasping in humanoid robots, OFILM's wrist visual perception system architecture solution focuses on "high-precision recognition + anti-interference capability," integrating two sensors (RGB + ToF), a dedicated processing computing unit, and IMU, which can achieve precise object recognition during the hand grasping process, effectively avoiding the impact of environmental light changes and repetitive textures on recognition accuracy, providing key visual support for stable grasping This plan, leveraging advanced technologies such as high-definition RGB imaging, ultra-high-resolution depth perception, high-precision ranging at close distances, stable frame output, ultra-small size design, and multi-interface compatibility, makes robotic grasping more precise and adaptability more stable, becoming an ideal choice for the visual system of humanoid robot wrists.

In terms of research and innovation in machine vision perception products, OFILM's technological integration capabilities are outstanding. The company possesses 3D machine vision, automotive solutions, optical design, software algorithms, etc., which can integrate platform technology capabilities to provide a complete integration solution from the head, wrist to the waist, offering one-stop packaged services and creating differentiated competitive solutions for customers. Currently, OFILM has established partnerships with several well-known humanoid robot companies and home robot companies to jointly promote innovation and development in the robotics industry.

The significance of this merger and reorganization goes beyond just adjusting the equity structure; it also marks a shift in China's high-end manufacturing from scale expansion to capability integration. In the past, industry competition relied on cost advantages, while future core competition will focus on technological accumulation, industrial synergy, and long-term innovation capabilities. OFILM will continue to strengthen its core capabilities and industrial synergy, providing important pathways for the company's sustainable high-quality development
