CICC Shareholders Approve Key Resolutions Backing Planned Securities Mergers

China International Capital ( (HK:3908) ) has issued an update.

China International Capital Corporation reported that all resolutions put to its 2026 First Extraordinary Shareholders’ Meeting and separate A and H shareholders’ class meetings were duly passed in Beijing. The meetings covered all of the company’s 4.83 billion issued shares, with more than half of the voting rights exercised despite Central Huijin abstaining on merger-related resolutions for governance reasons.

The approvals mark a key procedural step toward CICC’s planned major transaction and specific mandate to issue new A shares to support its proposed mergers with Dongxing Securities and Cinda Securities. Successful passage of these resolutions strengthens the firm’s ability to move ahead with consolidation plans, which could reshape its capital structure and competitive position in China’s securities industry while signaling strong shareholder engagement.
