# Porch Group Subsidiary Buys Shares to Boost Capital

Porch Group ( (PRCH) ) has issued an announcement.

On June 10, 2026, Porch Group subsidiary Porticus Reinsurance Ltd. bought about 2.1 million shares of Porch common stock from the Porch Reciprocal Exchange for $15 million in a privately negotiated transaction at $7.17 per share, after securing approvals from U.S. and Cayman regulators. The shares, which will be treated as treasury stock and carry no voting or quorum rights, were acquired under a structure that complies with the company’s 2028 convertible notes indenture and sits outside Porch’s exhausted open-market buyback authorization.

The deal is intended to convert part of the Reciprocal’s Porch shareholding into cash, boosting the Reciprocal’s statutory surplus because much of the equity stake is treated as non-admitted for regulatory capital purposes. With statutory surplus of roughly $165 million as of March 31, 2026, supporting more than $800 million in written premiums and a remaining 16.2 million Porch shares on its books, the Reciprocal enhances its capacity to scale while retaining upside if the stock appreciates, a move that may strengthen Porch’s insurance platform and capital flexibility for stakeholders.
