# Fat Brands Finalizes Major Asset Sales in Restructuring

The latest announcement is out from Fat Brands ( (FATAQ) ).

In the wake of its Chapter 11 proceedings, Fat Brands Inc. and affiliated debtors auctioned substantially all of their assets on April 27, 2026, under court-approved bidding procedures, with FBG Bid Co., Amazing Brands, TABCO International Food Catering and TWNPKS Bid Co. named provisional winners for different brand groups. On May 19, 2026, the Bankruptcy Court authorized four sale orders, enabling a series of asset purchase agreements that collectively transfer ownership of the Hot Dog on a Stick, Elevation Burger, the core Fat Brands portfolio and Twin Peaks restaurant and entertainment assets, materially reshaping the group’s structure and ownership.

Under these transactions, the Hot Dog on a Stick business and related intellectual property were sold for $8 million, while Elevation Burger fetched $2.5 million, with buyers assuming specified liabilities in each deal. On June 15, 2026, Fat Brands’ flagship portfolio, including Round Table Pizza, Fatburger, Johnny Rockets, Fazoli’s and other franchised brands, was sold to an affiliate via a roughly $595 million credit bid tied to debtor-in-possession and prepetition note obligations, and the Twin Peaks chain was sold through a separate credit bid of about $359.5 million, together moving major restaurant systems out of the debtor entities and significantly advancing Fat Brands’ court-supervised restructuring.

The sale of the Hot Dog on a Stick assets closed on June 5, 2026, followed by the June 15, 2026 closings of the Elevation Burger, Fat Brands portfolio and Twin Peaks transactions, with notices filed in the Chapter 11 cases documenting each completion. These sales, conducted free and clear of liens under Section 363 and coupled with the assumption and assignment of designated contracts and leases, mark a pivotal phase in the company’s reorganization, with important implications for creditors, franchisees and other stakeholders as brand operations continue under new ownership structures.
