# Celularity Secures Insider-Backed Short-Term Loan Facility

On June 29, 2026, Celularity entered into a secured $1 million short‑term loan agreement with the Philip & Daniele Barach Family Trust, a related party lender affiliated with a significant shareholder, bearing 4.0% annual interest and maturing upon either 30 days after closing or the company’s receipt of proceeds from specified financing or strategic transactions. The loan is backed by a first‑priority security interest in substantially all of Celularity’s personal property, is subject to existing liens, required a waiver and subordination agreement from creditor Robert J. Hariri, and underscores the company’s reliance on insider financing, while, separately, director Vincent LeVien resigned from the board effective June 26, 2026, without any reported disagreement over company operations or policies.
