Valaris ( (VAL) ) just unveiled an announcement.

Valaris Limited and Transocean Ltd., both major players in offshore drilling, entered into a Business Combination Agreement on February 9, 2026, under which Transocean will acquire all issued and outstanding Valaris shares in an all-stock deal, offering 15.235 Transocean shares for each Valaris share. The combination, aimed at creating a larger offshore drilling group, is subject to multiple regulatory and shareholder approvals that will shape the companies’ future scale and competitive positioning in the sector.

On June 29, 2026, Valaris and Transocean secured approval from the Committee on Foreign Investment in the United States, satisfying a key regulatory condition for the deal. The transaction remains under review by the U.S. Department of Justice under the Hart-Scott-Rodino Act, with both companies responding to a Second Request and committing not to certify substantial compliance before July 31, 2026, while maintaining guidance that closing is expected in the second half of 2026, subject to remaining approvals and customary conditions.
