Olaplex Holdings ( (OLPX) ) has provided an announcement.

On July 7, 2026, Olaplex Holdings fully repaid approximately $357.6 million of outstanding debt under its 2022 credit agreement, terminating all related commitments without incurring early termination penalties. The repayment also released the borrower and holdings from all associated security interests, liens and guarantees, simplifying the company’s capital structure.

In connection with the consummation of a merger on July 7, 2026, each outstanding share of Olaplex common stock was converted into the right to receive $2.06 in cash and then canceled, while options and restricted stock units were cashed out or canceled based on their exercise price. As part of going private, the company’s shares ceased trading on the Nasdaq Global Select Market, delisting and deregistration steps were initiated, existing equity incentive plans were terminated, the board was reconstituted, governing documents were amended and the previously scheduled 2026 annual meeting of stockholders was canceled.
