# Nocera Enacts Reverse Stock Split to Maintain Nasdaq Listing

The latest announcement is out from Nocera ( (NCRA) ).

On July 6, 2026, Nocera entered into a letter of intent with INERGX Energy Optimisation Ltd. to acquire up to 9.99% of INERGX’s equity interests, with consideration potentially in cash and Nocera common stock under a VWAP-based pricing collar. The letter of intent is non-binding on closing, gives Nocera a limited right of first refusal on certain higher-valuation third-party equity proposals, and is subject to INERGX completing two strategic acquisitions, due diligence, definitive documentation and customary regulatory and corporate approvals.

Separately, Nocera’s board approved a 1-for-30 reverse stock split that became effective on July 6, 2026, with split-adjusted trading commencing on Nasdaq on July 7, 2026 under the existing NCRA symbol. The reverse split reduced outstanding common shares from 46,495,187 to 1,549,956, adjusted equity-linked securities proportionately and provided cash in lieu of fractional shares, and is intended to boost the share price to meet Nasdaq’s minimum bid requirement and strengthen the company’s ability to pursue its diversified technology holding company strategy.
