# Optimus Healthcare Services Finalizes Debt Settlement and Wind-Down

Optimus Healthcare Services ( (OHCS) ) has shared an update.

Optimus Healthcare Services, Inc. has been under a forbearance agreement with Arena Investors and other holders of its senior secured convertible notes issued in 2021 and 2022, with multiple amendments culminating on April 14, 2025, that extended deadlines for curing specified defaults and completing a restructuring financing. After a strategic review announced in June 2025 and completed by September 11, 2025, the board determined there were no viable options to secure ongoing funding or cure the note defaults, and initiated a wind down of operations, including a reduction in force while retaining a core team to manage patient transitions in oncology trials.

As part of the wind down, the company fully repaid a secured loan from JP Morgan Chase Bank and, on July 14, 2026, agreed with its first-priority secured lender group to settle approximately $4.4 million of outstanding secured debt plus accrued interest on the notes by delivering its remaining cash after necessary wind-down expenses. Following final payment expected on July 31, 2026, the notes will be terminated, the company’s bank accounts will be closed, operations will cease, and all directors and officers will resign effective August 5, 2026, effectively ending Optimus Healthcare Services’ corporate existence and leaving noteholders and other stakeholders reliant on the residual cash proceeds from the wind down.
