# Why Is Sadot Stock Surging on Monday?

**Sadot Group Inc.** (NASDAQ:SDOT) stock is surging on Monday, building on gains from late last week.

The upward movement follows the company’s July 14 completion of a $6 million acquisition of **TradeIQ** from Hong Kong-based **Litial Ltd**.

TradeIQ provides predictive-intelligence software designed to complement commodity trading and risk management platforms.

The transaction includes the software’s source code, models, training datasets, data pipelines, and technical documentation.

Sadot structured the purchase with $50,000 in cash, 200,000 common stock shares valued at $2 million, and 3,950 Series C preferred shares holding a total stated value of $3.95 million.

## Financing Package Secures $200 Million

The company also expanded its capital access by securing agreements for up to $200 million in new funding. On Thursday, Sadot closed an initial $4 million tranche of a senior-secured convertible notes facility that offers up to $100 million.

These notes carry an 8.25% annual interest rate, mature on July 16, 2028, and feature a conversion price of $17.81.

Additional draws remain subject to shareholder approval, effective resale registration statements, trading liquidity requirements and Nasdaq compliance.

Furthermore, the company established a separate equity purchase facility allowing the discretionary sale of up to $100 million in newly issued common stock.

## Legal Settlement Eliminates Equity Overhang

According to company details reported on Friday, Sadot resolved outstanding litigation with **Helena Global** in the U.S. District Court for the Southern District of New York. Under the terms of the settlement, Sadot Group will pay $350,000 in cash, leading both parties to dismiss the lawsuit with prejudice and release all claims.

The agreement terminates a legacy $10 million equity-line facility, which removes a potential source of future stock dilution.

This follows debt-for-equity exchanges completed earlier in July that retired approximately $3.36 million in outstanding obligations.

**SDOT Price Action:** Sadot Group shares were up 29.50% at $32.76 during premarket trading on Monday, according to Benzinga Pro data.
