(NASDAQ:TSLA)** reported one of its largest earnings misses in years on Wednesday, and a former company president says discounting may be to blame. The EV maker posted second-quarter adjusted earnings of 33 cents per share, missing the Street consensus of 50 cents. Revenue of $28.24 billion beat expectations, driven by record deliveries of 480,126 vehicles, up 25% year-over-year. Shares fell roughly 13% Thursday. ## Why the Revenue Beat May Be a Warning Sign Jon McNeill, Tesla’s former president and current DVx Ventures CEO, told Bloomberg the combination of a top-line beat and a bottom-line miss tells a simple story. “They are falling to the temptation of feeding the top line, which is a beast to continue to keep growing, with discounts,” McNeill said, adding that when a company discounts on both price and financing, “you see what happens to margins.” The numbers appear to back him up. Operating margin narrowed to 1.4% from 4.1%, while regulatory credit revenue plunged 67% to $146 million, removing a reliable source of high-margin income. The discounting likely reflects pressure from Chinese rivals such as BYD and cooling EV demand at home. “This is not an AI investment story,” McNeill said, though Tesla is spending like one. Capital expenditures surged 142% to $5.79 billion, pushing free cash flow to negative $1.09 billion. ## What Do Prediction Markets Say? McNeill called a potential combination with **SpaceX (NASDAQ:SPCX)** “highly complementary.” Odds of a Tesla-SpaceX merger being officially announced by year-end dropped slightly to 23%. Polymarket traders give a California robotaxi launch just a 16% chance by December 31, while a release of Optimus this year sits at 22%. Tesla’s GAAP results included a $1.005 billion unrealized gain on its SpaceX equity stake, flattering a quarter in which the core business struggled. That gain may have eroded, as SpaceX shares have fallen since the quarter ended.
