# Generation Income Properties Converts Debt, Bolsters Nasdaq Compliance

Generation Income Properties ( (GIPR) ) has issued an update.

On July 24, 2026, Generation Income Properties, its operating partnership, and the David E. Sobelman Revocable Trust entered into and completed a debt conversion agreement, converting $120,000 of promissory note debt dated May 29, 2025 into common stock at $0.74 per share. The transaction resulted in the issuance of 162,163 shares to the Sobelman Trust, extinguished the converted portion of the debt, and reduced the remaining balance under the note.

Together with a preferred equity amendment transaction completed earlier in July 2026, the company now believes its stockholders’ equity exceeds $5 million, an important threshold for maintaining compliance with Nasdaq’s Stockholders’ Equity Requirement. Nasdaq will continue to monitor the company’s equity levels at future reporting dates, and the company acknowledges that failure to demonstrate ongoing compliance could result in potential delisting, underscoring the stakes of these capital structure moves for shareholders.
