# Norwood Financial Delivers Record Earnings Amid Credit Hit

Norwood Financial’s latest earnings call carried a clearly upbeat tone, as management highlighted record quarterly profits, stronger returns and successful integration work following a recent acquisition. While executives acknowledged a sizeable single-borrower charge-off and mounting competition for deposits, they stressed that core profitability and operational milestones more than offset these headwinds.

## Record Quarterly Earnings

Norwood reported record GAAP net income of $9.3 million for the second quarter, up sharply from $6.2 million a year earlier. Diluted earnings per share rose to $0.86 from $0.67, representing roughly a 50% jump in net income and a 28% increase in EPS year over year, underscoring a significant step-up in profitability.

## Strong Year-to-Date Performance

Year-to-date results also showed robust momentum, with net income reaching $26.8 million, up 41% from the prior year period. Management noted that adjusted net income and adjusted EPS climbed even faster, with adjusted net income up about 48% and net interest income up roughly 39%, highlighting broad-based earnings strength.

## Net Interest Margin Expansion

Net interest margin expanded to 3.9%, improving by 47 basis points versus the same quarter last year and 22 basis points sequentially. Executives credited lower deposit costs for most of the gain, while flagging that around $241,000 of nonrecurring interest income contributed only a modest 3 to 4 basis points to the reported margin.

## Pre-Provision Revenue and Returns

Pre-provision net revenue reached $13.6 million, a 55% increase from the prior-year quarter and more than double the level recorded in the first quarter of 2026. Return on average assets climbed to 1.28% and return on average tangible equity approached 15%, signaling more efficient use of the balance sheet and improved shareholder returns.

## Balance Sheet Scale and Capital Strength

The balance sheet stood at approximately $2.9 billion in total assets, with loans of $2.26 billion and deposits of $2.51 billion. Tangible book value per share rose to $22.96, slightly above the level before the Presence Bank acquisition, and average tangible equity increased around 15%, with management emphasizing that acquisition-related dilution has been recaptured years ahead of schedule.

## Presence Bank Integration Milestones

Management declared the Presence Bank integration essentially complete, with core system conversion and brand alignment across all branches finished. Merger-related expenses fell sharply to about $53,000 in the quarter from roughly $5 million in the first quarter, signaling that most integration costs are now behind the company.

## Operational Initiatives and AI Roadmap

The company outlined a three-year plan to roll out artificial intelligence across multiple departments, building on technology inherited from Presence Bank. A commercial credit system with embedded AI and machine learning will be used to improve credit officer productivity through greater automation, faster decision-making and enhanced reporting capabilities.

## Leadership and Succession Planning

Norwood detailed several leadership changes, including the promotion of Steven Daniels to Chief Lending Officer as a long-serving executive prepares to retire. Deb Kennedy was elevated to Director of Retail Banking, which management framed as evidence of deliberate succession planning and efforts to deepen its leadership bench.

## Single-Borrower Bankruptcy Impact

A notable blemish on the quarter was a Chapter 11 filing by a customer with $22 million of total loans, which triggered a $7.7 million net charge-off. The bankruptcy is ongoing, and the bank increased its provision for credit losses in response, though management stressed that this was a concentrated event rather than a broad deterioration in the portfolio.

## Nonaccruals and Credit Metrics

Total nonaccrual loans ended the quarter at about $22.5 million, with management indicating that the troubled single borrower accounted for the bulk of that total. The allowance for credit losses stood at $25.6 million, or roughly 1.13% of total loans, with current expected credit loss modeling driving higher provisioning in the period.

## Loan Growth Headwinds from Payoffs

Despite healthy loan production, overall loan growth was dampened by higher-than-expected payoffs during the quarter. Growth was supported by indirect and commercial real estate lending, but commercial and industrial balances saw slight paydowns, reflecting localized dynamics rather than a broad slowdown in demand.

## Deposit Competition and Margin Risk

Norwood flagged intensifying competition for deposits in its Northeast and Mid-Atlantic markets, including more frequent requests for special rates. Management noted that spot deposit costs in June ran about 2 basis points above the quarterly average and cautioned that some of the second-quarter margin benefit tied to certificates of deposit and money market trends may not recur.

## Nonrecurring Items and Purchase Accounting

Second-quarter results included about $241,000 of nonrecurring interest income tied to bond calls and accelerated credit marks on an acquired loan, contributing a few basis points to the margin. Purchase accounting accretion generated roughly $700,000 of loan accretion and about $300,000 of core deposit intangible amortization, which management expects to remain a factor in coming quarters.

## Ongoing Legal and Legacy Costs

While merger-related expenses have largely tapered off, the company continued to incur some legacy-related costs, including roughly $75,000 of legal fees linked to the problematic loan. Earlier in the year, a one-time restructuring of bank-owned life insurance added about $225,000 of expense, slightly weighing on reported results across the first half.

## Forward-Looking Guidance and Outlook

Looking ahead, management expects the combined franchise to maintain strong performance through 2026 as the Presence integration and AI rollout progress. They pointed to loan pipelines in the mid- to high-6% yield range, stable purchase accounting accretion and core deposit intangible amortization, while cautioning that rising funding costs and elevated nonaccruals will remain key variables for margins and credit.

Norwood’s earnings call painted a picture of a bank leveraging acquisition synergies and technology investments to lift profitability, even as it manages through an isolated credit issue and a more competitive funding landscape.
