# Mininglamp Revises Tencent Cloud Service Caps, Triggers Independent Shareholder Review

The latest announcement is out from Mininglamp Technology Class A ( (HK:2718) ).

Mininglamp Technology, via its wholly owned subsidiary Miaozhen Information Technology, has entered into a supplemental framework agreement with Tencent Cloud Beijing to revise the annual caps for technical services it procures. The core commercial terms of the original procurement framework agreement remain unchanged, underscoring continuity in the company’s operational reliance on Tencent’s cloud services.

Because Tencent Cloud Beijing is a wholly owned subsidiary of substantial shareholder Tencent, which holds about 24.77% of Mininglamp, the revised caps constitute continuing connected transactions under Hong Kong’s Listing Rules. The applicable ratios exceed 5%, triggering requirements for annual reporting, review, announcement, and approval by independent shareholders.

To address governance and conflict-of-interest concerns, non-executive director Leiwen Yao, who also holds a senior role at Tencent, abstained from voting on the relevant board resolutions. An Independent Board Committee made up of all independent non-executive directors has been formed, and Merdeka Corporate Finance has been appointed as independent financial adviser to assess the transaction for minority investors.

The company plans to dispatch a circular to shareholders by 24 August 2026, setting out full details of the supplemental framework agreement, recommendations from the Independent Board Committee, and advice from the independent financial adviser, along with notice of an extraordinary general meeting. This process is aimed at securing formal independent shareholder approval while reinforcing compliance and transparency around Mininglamp’s expanded use of Tencent’s technical services.
