Investments by TPG RE Finance Trust and affiliated TPG and TRECO Funds at different levels of an issuer’s capital structure create complex inter-creditor dynamics and potential conflicts. In distress or restructuring scenarios, actions taken to protect other TPG vehicles—such as timing of sales or workout strategies—may be adverse to TPG RE Finance Trust’s economic and control interests.

Although TPG implements procedures like maintaining non-controlling positions and forbearance of certain rights to mitigate conflicts, these safeguards are inherently limited.
