# Sharon AI Q2 2026 results: Contract growth precedes the revenue ramp

Sharon AI (NASDAQ: SHAZ) reported Q2 2026 revenue of $1.931 million, up 412% from $376,984 a year earlier, while diluted loss per share widened to $26.16 from $2.41. The $430.4 million GAAP net loss was dominated by $423.8 million of non-cash items, principally a $400.4 million fair-value loss on convertible notes, while adjusted EBITDA improved to positive $0.6 million. Total contract value reached $8.8 billion as of August 6, although that operating metric is not recognized revenue.

## Core financial results

Revenue growth moved gross profit into positive territory. Gross profit reached $1.170 million, representing an approximate gross margin of 60.6%, compared with a $21,282 gross loss and an approximate negative 5.6% margin in Q2 2025.

After quarter-end, secured AI Factory capacity increased by 80MW to 212MW for deployment during 2026 and 2027. The company also expects more than 64,000 NVIDIA GPUs to be deployed by mid-2027. Its expanded VAST Data partnership covers a 600PB data platform sized to support approximately 100,000 GPUs.

## Profitability, cash flow, and the balance sheet

Cash flow information was reported for the six months ended June 30 rather than for Q2 alone. Six-month operating cash flow was positive $23.241 million, compared with a $1.708 million outflow in the prior-year period.

That cash generation should be viewed alongside the underlying reconciliation. It benefited from the add-back of a $470.669 million six-month non-cash fair-value loss on convertible notes and $143.880 million of customer deposits. Meanwhile, increases in other current assets and receivables absorbed $95.763 million and $26.713 million of cash, respectively.

Investing activities used $263.314 million during the first half, including $310.666 million of advance payments for property and equipment and $12.542 million of direct property and equipment purchases, partly offset by asset and investment proceeds. These outlays reflect the scale of the infrastructure build-out required to bring contracted capacity online.

Cash and cash equivalents rose to $1.861 billion at June 30 from $71.073 million at December 31, 2025, primarily following $2.044 billion of first-half financing cash inflows. At quarter-end, current liabilities included $1.007 billion of convertible notes and $143.880 million of customer deposits. Total stockholders’ equity was $1.128 billion, compared with a $10.148 million deficit at year-end.

## Non-cash note revaluation drove the loss, but operating costs also remain material

The difference between Sharon AI’s $430.4 million net loss and positive $0.6 million adjusted EBITDA was primarily an accounting and capital-structure effect. The quarter included a $400.4 million fair-value loss on convertible notes caused by share-price appreciation, with total non-cash items reaching $423.8 million.

Removing those items makes operating performance appear substantially better, but it does not eliminate the need for revenue to scale. The company still recorded a $24.8 million operating loss because $1.2 million of gross profit was insufficient to cover its operating expense base. Investors therefore need to distinguish between volatility from convertible-note accounting and the separate challenge of expanding recognized revenue faster than ongoing costs.

## Management’s view

CEO James Manning said the company’s priority is converting contracted commitments and demand for AI infrastructure into durable revenue. Management expects revenue to ramp materially from Q3 2026 through 2027 and said contracted capacity remains on schedule, while emphasizing disciplined capital allocation and the pace of expansion.
