# Construction Partners Addresses Nasdaq Compliance After Director’s Passing

An update from Construction Partners ( (ROAD) ) is now available.

On August 10, 2026, Construction Partners disclosed that the death of long-serving director and Audit Committee member Michael H. McKay in a July 22 accident left its Audit Committee with only two independent directors, rendering it temporarily non-compliant with Nasdaq’s three-member requirement. The board plans to use the available cure period, which runs until the earlier of the next annual meeting or July 22, 2027, to appoint a new independent director and restore compliance, while honoring McKay’s legacy by dedicating the boardroom at its Dothan, Alabama headquarters in his name.

McKay, a founding director who joined the board in 2002 and the Audit Committee in 2008, was widely credited by company leaders with shaping Construction Partners’ governance, financial discipline and Sunbelt growth strategy, underscoring his strategic importance to stakeholders. Separately, on August 6, 2026, the company granted 619,000 time-based restricted Class B shares under its 2024 Restricted Stock Plan to certain employees, scheduled to vest in a single tranche on September 30, 2030, a move that further aligns employee incentives with long-term shareholder interests.
