# Universal Health Announces $1.1 Billion Senior Notes Offering

Universal Health ( (UHS) ) has shared an announcement.

On August 11, 2026, Universal Health Services, Inc. and certain subsidiaries entered into an underwriting agreement to issue $1.1 billion of senior secured notes, comprising $600 million of 5.500% notes due 2031 and $500 million of 6.000% notes due 2036, guaranteed on a senior secured basis by its existing and future subsidiary guarantors. The transaction deepens the company’s reliance on capital markets and bank lenders, will channel proceeds in part to repay borrowings under its revolving credit facility and 1.650% notes due 2026, and further tightens financial links with key underwriters that already serve as lenders, arrangers, and advisors, including on its proposed acquisition of Talkspace, Inc.
