The suit alleges catastrophic corporate governance breaches from September 2021 through July 2025, asserting that executive misconduct generated artificial earnings growth. The complaint says the subsequent fallout wiped out more than $277 billion in stockholder value between December 2024 and August 2025. ## UnitedHealth Group Faces Medicare Fraud, Algorithmic Care Denial Allegations The complaint alleges the health insurance giant fraudulently inflated Medicare Advantage revenue by making members appear sicker through diagnoses that plaintiffs contend were unnecessary, capturing $8.7 billion in federal funds in 2021 alone. Plaintiffs also allege the insurer systematically denied post-acute rehabilitation care using automated algorithms. According to the complaint, beneficiaries who appealed prevailed 99.7% of the time, while management calculated that most patients would not challenge denials. UnitedHealth Surges After Blowout Earnings, Higher Guidance** ## Court Deception, Data Breaches, And Insider Sales Plaintiffs further allege that the company misled a federal court regarding data firewalls during its $13 billion takeover of Change Healthcare Inc. and that deficient cybersecurity contributed to the 2024 ransomware breach, which exposed data belonging to about 190 million people. Plaintiffs also allege **Stephen Hemsley**, **Andrew Witty** and former UnitedHealthcare CEO **Brian Thompson** sold more than $237 million of UnitedHealth stock during the relevant period while material information about alleged misconduct remained undisclosed. The complaint separately names former President and CFO **John Rex** in connection with UnitedHealth’s financial disclosures and Medicare Advantage business. Rex served as CFO from 2016 until July 2025 and as president from April 2024 through July 2025, earning about $89.8 million in compensation from 2021 through 2025. During UnitedHealth’s July 2025 earnings call, Rex disclosed that the revised outlook reflected $6.5 billion more in medical costs than anticipated and removed about $1 billion of previously planned portfolio actions. UnitedHealth announced his removal as president and CFO two days later, effective Sept. 2, 2025, according to the complaint. ## Accounting Adjustments And Severe Federal Fallout The complaint alleges UnitedHealth used portfolio refinement transactions that boosted profits by $3.3 billion, helping the company meet earnings targets before it sharply cut its financial outlook in 2025. The fallout included leadership changes, a Massachusetts lawsuit alleging more than $100 million in Medicaid fraud and credit-rating outlook cuts.
