# Gaxos Announces Exercise of Warrants for Approximately $3.6 Million Gross Proceeds

In Roseland, NJ, on Aug. 14, 2026, Gaxos.ai Inc. (“Gaxos” or "the Company") announced that they have entered into definitive agreements for the immediate exercise of outstanding warrants to purchase up to 3,007,654 shares. These warrants were initially issued in December 2024 and September 2024, with exercise prices ranging from $2.33 to $3.32 per share, now reduced to $1.20 per share. The common stock shares to be issued upon exercise of the warrants are registered under effective registration statements on Form S-1 (No. 333-292709) and Form S-3 (File No. 333-282739).
