# Workday Stock Drops 2.4% as Analysts Reject Takeover Hype

Workday , a cloud software company powering finance and human-resources operations, dropped about 2.4% to $193.85 Monday morning after Deutsche Bank and BTIG downgraded the shares. The pressure arrived after takeover speculation from private-equity firm Silver Lake fueled a powerful rally, forcing investors to ask a simple question: was Workday's surge driven by stronger fundamentals or just deal excitement?

BTIG cut its rating to neutral from buy and removed its previous $175 price target, warning that fiscal 2027 expectations had moved too far after Workday climbed roughly 24% in August and nearly 76% from its June low. Deutsche Bank also moved the stock to hold and reportedly lowered its target to $145 from $185, suggesting the easy upside may have already been priced in after the takeover buzz.

The buyout story remains the biggest headline, but the numbers still have to do the talking. A potential transaction above $50 billion would require massive financing and remains unconfirmed. Workday's sticky subscription revenue, enterprise customer base and AI ambitions make it an attractive asset, but speculation does not create revenue growth.

The valuation debate is now getting more interesting: Workday traded at $193.85 while GF Value estimated fair value at $319.71, indicating the stock was trading about 39.4% below its intrinsic value estimate. The next test is whether Workday's AI expansion, bookings growth and profitability can deliver the upside investors were hoping takeover speculation would provide.
