# Why Is Nebius Stock Down Over 5% in Pre-Market Today, August 19?

Nebius Group (NBIS) stock fell over 5% in pre-market trading Wednesday after the AI cloud company announced a proposed $4.5 billion convertible senior notes offering. The company plans to sell the notes through a private placement to qualified institutional buyers, subject to market conditions.

The proposed financing includes $2.75 billion of notes due in 2030 and $1.75 billion of notes due in 2034. Nebius also expects to give initial buyers options to purchase up to another $675 million of notes.

Nebius plans to use the proceeds to expand its AI infrastructure. The company said the funds would support data center construction and AI cloud development. The company also plans to use some of the money to buy components, including GPUs. That points to the large amount of capital needed to expand AI computing capacity.

## **Why Could the Convertible Notes Pressure NBIS Stock?**

Convertible notes can create potential dilution because investors may have the right to convert them into company shares under certain conditions. That can put pressure on a stock when investors are already concerned about the impact of new financing.

Nebius also plans to enter separate exchange agreements with some holders of its existing 2029 and 2031 convertible notes. Those transactions would exchange part of the existing debt for Class A ordinary shares.
