According to the announcement from WINNER TECH. (300609.SZ), on May 9, 2025, Zhang Hongjun signed a "Share Transfer Agreement" with Shanghai Jinshi No. 1 Intelligent Technology Partnership (Limited Partnership) (hereinafter referred to as "Jinshi No. 1" or "Party B1") and Shanghai Baojinshi No. 1 Intelligent Technology Partnership (Limited Partnership) (hereinafter referred to as "Baojinshi No. 1" or "Party B2", collectively referred to as "Transferees" or "Party B"). Zhang Hongjun will transfer 12,011,400 shares of WINNER TECH. (accounting for 10.00% of the total shares of the listed company) and all corresponding shareholder rights and interests to Jinshi No. 1, and will transfer 6,005,700 shares of WINNER TECH. (accounting for 5.00% of the total shares of the listed company) and all corresponding shareholder rights and interests to Baojinshi No. 1.

In addition, Mr. Jiang Zexing signed a "Conditional Share Subscription Agreement" with the listed company, intending to fully subscribe to the newly issued shares in cash. The number of shares issued to specific targets will not exceed 36 million shares (including this number), accounting for no more than 30% of the total share capital of the company before this issuance.

As of now, the controlling shareholder and actual controller of the company is Mr. Zhang Hongjun ("Transferor" or "Party A"). According to the relevant agreement arrangements, after the completion of this share transfer agreement and the issuance of A-shares to specific targets, the controlling shareholder and actual controller of the company will change to Mr. Jiang Zexing
