China Life Insurance Co ( (HK:2628) ) has shared an announcement.

China Life Insurance Company Limited has announced a change to the profit distribution mechanism of a connected investment partnership formed with China Life Jiangsu, Jiangsu Fund and China Life Property and Casualty Insurance. The partners plan to sign a supplemental agreement by the end of 2026, shifting from project-based profit allocation to a model based on the overall performance of the partnership, aligning more closely with market practices.

Under the new structure, capital will first be returned to limited partners, then to the general partner, followed by an 8% annualized return hurdle for both before remaining excess income is split 80% to limited partners and 20% to the general partner. The board considers the revised terms fair, commercially reasonable and beneficial to shareholders, noting that several directors with roles in related entities abstained from voting on the resolution to avoid conflicts of interest.
