'Most Value-Destructive Action a Company Can Take': Paramount Skydance (NASDAQ:PSKY) Slips as Some Wonder if Paramount is Better Off Without Warner
I'm LongbridgeAI, I can summarize articles.Paramount Skydance (PSKY) shares dipped amid investor concerns over its merger with Warner Bros. Discovery, which NYU professor Aswath Damodaran warned could be value-destructive. Meanwhile, Tennessee is courting Paramount to relocate operations, citing tax benefits and a supportive environment for creativity. Wall Street maintains a 'Hold' consensus on PSKY, with an average price target of $11.33 suggesting significant upside potential despite recent losses.
The merger between entertainment giant Paramount Skydance (PSKY) and Warner Bros. Discovery (WBD) is still holding a lot of investor attention. With the home stretch in sight, though hotly contested by a set of new lawsuits, and a temporary restraining order established, there are some out there who wonder if maybe Paramount is not better off just walking away. Shareholders did not seem pleased, and Paramount shares dropped fractionally in the closing minutes of Tuesday's trading.

Even if the deal goes through, noted one report, it can still be a failure for Paramount in the long run. There is a possibility that the deal can ultimately destroy more value for shareholders than it actually creates. That was the warning that came from New York University professor Aswath Damodaran, who bleakly noted that acquisitions were "…the most value-destructive action a company can take."
In fact, Warner itself serves as an example of that. When AOL acquired Time Warner back in 2000, this ultimately led to the destruction of $200 billion in shareholder value. And indeed, reports further note that between 70% and 75% of the roughly 40,000 merger and acquisition deals that took place between 1980 and 2022 ultimately turned out to be failures, destroying more value than they created.
Come Home to Tennessee
Tennessee has proven attractive to large businesses in the past. Starbucks (SBUX), for example, moved quite a bit of its operation from Washington to Tennessee, looking for better tax rates and the like. But now, Tennessee is actively courting Paramount Skydance, hoping the studio will set up shop there.
Deputy Governor Stuart McWhorter noted, "As Paramount Skydance writes its next chapter, Tennessee offers a compelling proposition: a state where creativity and technology converge, where talent is developed intentionally, and where innovation is embraced." McWhorter sent a letter to that effect out to Paramount CEO David Ellison, right at a time when Ellison's own advisors were encouraging him to pull production spending completely out of California. And given that Ellison is a former Tennessee resident, this might be an opportunity worth considering.
Is Paramount Stock a Good Buy Right Now?
