At an extraordinary general meeting held on June 22, 2026 in Singapore, shareholders of SKK Holdings Limited approved an asset purchase agreement to acquire substantially all of Rantizo Inc.’s drone-based technology assets for agriculture, forestry, emergency response and other commercial uses, for $759,047 in cash and approximately $258.8 million in newly issued Class A shares. Investors also backed associated issuances of Class A shares to management and in connection with Rantizo’s escrow payment, signaling strong support from the company’s high-vote Class B shareholders, who carried virtually all of the voting power.

Shareholders further approved a name change from SKK Holdings Limited to Rantizo, subject to regulatory formalities, and authorized a tenfold increase in authorized share capital to facilitate the transaction and future financing flexibility. A new memorandum and articles of association were also endorsed, collectively reshaping the company’s capital structure and branding around the Rantizo platform, and positioning it as a major listed player in drone-enabled agricultural and commercial services.
