AMD CEO Gives Investors New Reason to Watch

AMD is issuing the debt across four maturities: $1.25 billion of 4.6% notes due 2029, $1.5 billion of 5% notes due 2031, $1 billion of 5.25% notes due 2033 and $1 billion of 5.5% notes due 2036. The company expects roughly $4.7 billion in net proceeds after expenses.

We intend to use the net proceeds from this offering for general corporate purposes, which may include the repayment of debt, AMD said in its filing.

The scale matters because AMD entered the deal from a relatively strong liquidity position. At June 27, the company held about $5.1 billion in cash and $8.0 billion in short-term investments, against $3.25 billion of debt principal.

Still, AMD's capital requirements are expanding alongside its AI push. The company disclosed that it entered into investment commitments of up to $5 billion after the second quarter, subject to contingencies and expected through fiscal 2028.

That spending comes as the underlying business accelerates. Second-quarter revenue jumped 50% to a record $11.5 billion, while Data Center revenue more than doubled to $6.7 billion, accounting for 58% of company sales. AMD expects third-quarter revenue of roughly $13 billion.

Investors Takeaway

The debt raise itself is unlikely to define AMD's investment case. What AMD does with the money will.

Investors should watch whether proceeds primarily refinance existing obligations or support acquisitions, investments and AMD's expanding AI infrastructure strategy. AMD had $875 million of debt due in 2026 before the new issuance, making refinancing one obvious use.

Cash generation is equally important. AMD produced $1.56 billion in second-quarter free cash flow, but that was down from $2.57 billion sequentially as property and equipment purchases increased.

The bull case strengthens if AMD can turn higher investment into accelerating Instinct GPU sales while maintaining margins and free cash flow. If borrowing rises faster than AI earnings, however, investors may become considerably less forgiving of the spending spree.
