# 民商创科拟与北京生物易能及海南聚能成立附属公司以发展可再生能源科技业务

智通财经 APP 讯，民商创科 (01632) 公布，于 2024 年 4 月 27 日，公司全资附属民商深圳与北京生物易能及海南聚能订立合作协议，据此，民商深圳、北京生物易能及海南聚能同意成立附属公司以发展可再生能源科技业务。

根据协议，订约各方将作出的总出资额为人民币 5000 万元，其中民商深圳将以现金出资人民币 2550 万元，相当于附属公司注册资本的 51%;北京生物易能将以现金出资人民币 1750 万元，相当于附属公司注册资本的 35%;及海南聚能将以现金出资人民币 700 万元，相当于附属公司注册资本的 14%。

公告称，公司一直积极探索各种机会，以增强集团的竞争力及提升公司对其股东的价值。成立附属公司乃公司于新兴绿色及低碳行业探索机会的战略举措，有利于加快布局可再生能源。凭藉北京生物易能于可再生能源业务方面拥有的技术及经验丰富的专业团队，董事会认为，附属公司将具备在有关业务领域探索机会的良好条件。
