# 乐舱物流附属、山东乐舱及 Conglomerate Maritime 已单独与 Laudine Oceanway 及 Aludra Oceanway 订立框架协议

智通财经 APP 讯，乐舱物流 (02490) 发布公告， 2024 年 7 月 3 日，公司全资附属公司 Lehang Boundless(作为造船协议项下的原买方)、山东乐舱 (作为造船协议项下的原履约担保人) 及 Conglomerate Maritime(作为造船协议中替代山东乐舱的拟定新履约担保人) 已单独与 Laudine Oceanway(就船号为 H2789 的船舶而言，作为造船协议中替代 Lehang Boundless 的拟定新买方) 及 Aludra Oceanway(就船号为 H2790 的船舶而言，作为造船协议中替代 Lehang Boundless 的拟定新买方) 订立框架协议，Lehang Boundless 应根据约务更替协议分别向 Laudine Oceanway 及 Aludra Oceanway 作出造船协议约务更替，而 Laudine Oceanway 及 Aludra Oceanway 应向 Lehang Boundless 支付总额为 1.33 亿美元 (Laudine Oceanway 及 Aludra Oceanway 各应支付 6665 万美元) 的代价。

根据框架协议，于同日，Lehang Boundless、江南造船及中船贸易已单独与 Laudine Oceanway(就船号为 H2789 的船舶而言，作为造船协议中替代 Lehang Boundless 的拟定新买方) 及 Aludra Oceanway(就船号为 H2790 的船舶而言，作为造船协议中替代 Lehang Boundless 的拟定新买方) 订立约务更替协议，Laudine Oceanway 及 Aludra Oceanway 将替代 Lehang Boundless 并接管 Lehang Boundless 于相应造船协议项下的所有权利、责任及义务。

由于集团对船舶建造状况更为熟悉，于 2024 年 7 月 3 日，Laudine Oceanway 及 Aludra Oceanway 已分别与博亚国际海运订立造船监督协议，博亚国际海运已获 Laudine Oceanway 及 Aludra Oceanway 委任为彼等代表，以就造船协议 (经约务更替协议更替) 中的若干条款代其行事，包括监督交易对手方的适当履约情况及跟进船舶建造和交付，直至江南造船及中船贸易正式交付船舶为止。
