The Company's units began trading on the New York Stock Exchange ("NYSE") on May 15, 2026 under the ticker symbol ETSS U. Each unit consists of one Class A ordinary share and one-half of one redeemable warrant of the Company. Each whole warrant entitles the holder thereof to purchase one Class A ordinary share at a price of $11.50 per share, subject to certain adjustments. Once the securities comprising the units begin separate trading, the Class A ordinary shares and warrants are expected to be listed on the NYSE under the symbols "ETSS" and "ETSS WS," respectively. The Company is a blank check company formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses. The Company may pursue an initial business combination in any business or industry but expects to target opportunities within the climate transition, specialty finance, renewable energy, and regenerative agriculture sectors. Cohen & Company Capital Markets, a division of Cohen & Company Securities, LLC, acted as sole book-running manager for the offering.
