# 民商創科擬與北京生物易能及海南聚能成立附屬公司以發展可再生能源科技業務

> 民商創科與北京生物易能及海南聚能計劃成立附屬公司，以發展可再生能源科技業務。根據合作協議，三方將共同出資 5000 萬元人民幣，民商深圳佔 51%，北京生物易能佔 35%，海南聚能佔 14%。該舉措是公司在新興綠色及低碳行業佈局的戰略舉措，有利於加快可再生能源的發展。附屬公司將藉助北京生物易能的技術和團隊優勢，具備在相關領域探索機會的條件。

智通財經 APP 訊，民商創科 (01632) 公佈，於 2024 年 4 月 27 日，公司全資附屬民商深圳與北京生物易能及海南聚能訂立合作協議，據此，民商深圳、北京生物易能及海南聚能同意成立附屬公司以發展可再生能源科技業務。

根據協議，訂約各方將作出的總出資額為人民幣 5000 萬元，其中民商深圳將以現金出資人民幣 2550 萬元，相當於附屬公司註冊資本的 51%;北京生物易能將以現金出資人民幣 1750 萬元，相當於附屬公司註冊資本的 35%;及海南聚能將以現金出資人民幣 700 萬元，相當於附屬公司註冊資本的 14%。

公告稱，公司一直積極探索各種機會，以增強集團的競爭力及提升公司對其股東的價值。成立附屬公司乃公司於新興綠色及低碳行業探索機會的戰略舉措，有利於加快佈局可再生能源。憑藉北京生物易能於可再生能源業務方面擁有的技術及經驗豐富的專業團隊，董事會認為，附屬公司將具備在有關業務領域探索機會的良好條件。
