# 樂艙物流附屬、山東樂艙及 Conglomerate Maritime 已單獨與 Laudine Oceanway 及 Aludra Oceanway 訂立框架協議

智通財經 APP 訊，樂艙物流 (02490) 發佈公告， 2024 年 7 月 3 日，公司全資附屬公司 Lehang Boundless(作為造船協議項下的原買方)、山東樂艙 (作為造船協議項下的原履約擔保人) 及 Conglomerate Maritime(作為造船協議中替代山東樂艙的擬定新履約擔保人) 已單獨與 Laudine Oceanway(就船號為 H2789 的船舶而言，作為造船協議中替代 Lehang Boundless 的擬定新買方) 及 Aludra Oceanway(就船號為 H2790 的船舶而言，作為造船協議中替代 Lehang Boundless 的擬定新買方) 訂立框架協議，Lehang Boundless 應根據約務更替協議分別向 Laudine Oceanway 及 Aludra Oceanway 作出造船協議約務更替，而 Laudine Oceanway 及 Aludra Oceanway 應向 Lehang Boundless 支付總額為 1.33 億美元 (Laudine Oceanway 及 Aludra Oceanway 各應支付 6665 萬美元) 的代價。

根據框架協議，於同日，Lehang Boundless、江南造船及中船貿易已單獨與 Laudine Oceanway(就船號為 H2789 的船舶而言，作為造船協議中替代 Lehang Boundless 的擬定新買方) 及 Aludra Oceanway(就船號為 H2790 的船舶而言，作為造船協議中替代 Lehang Boundless 的擬定新買方) 訂立約務更替協議，Laudine Oceanway 及 Aludra Oceanway 將替代 Lehang Boundless 並接管 Lehang Boundless 於相應造船協議項下的所有權利、責任及義務。

由於集團對船舶建造狀況更為熟悉，於 2024 年 7 月 3 日，Laudine Oceanway 及 Aludra Oceanway 已分別與博亞國際海運訂立造船監督協議，博亞國際海運已獲 Laudine Oceanway 及 Aludra Oceanway 委任為彼等代表，以就造船協議 (經約務更替協議更替) 中的若干條款代其行事，包括監督交易對手方的適當履約情況及跟進船舶建造和交付，直至江南造船及中船貿易正式交付船舶為止。
