# Hongda Electronics: Acquisition of Partial Equity in Subsidiary

Hongda Electronics announced that at the seventh meeting of the fourth board of directors and the seventh meeting of the fourth supervisory board held on June 24, 2025, the proposal regarding the acquisition of partial equity of a subsidiary and related party transactions was approved. The company decided to acquire 49,800 yuan of equity held by Ms. Zhong Ying, one of the minority shareholders of its controlling subsidiary Zhuzhou Hongda Magnetoelectric Technology Co., Ltd., for a price of 2.8784 million yuan. This transaction constitutes a related party transaction, but the amount does not constitute a major asset reorganization and does not need to be submitted to the shareholders' meeting for review. The purpose of this transaction is to achieve mutual benefit and win-win results, and it will not have a significant impact on the company's financial condition and operating results
