威華達控股 (00622.HK) 公佈，與梧桐國際 (00613.HK) 訂立股份掉期協議，據此，公司將認購梧桐國際 1.89 億股，每股作價 1.986 元，總代價約 3.756 億元；及向梧桐國際發行 7.6 億股，每股作價 0.494 元，總代價約 3.756 億元。完成後，公司於梧桐國際持股將由目前 1.33% 增至 17.56%，梧桐國際於公司持股由 5.16% 增至 15.54%。
