This financing received A3 and DBRS A (low) ratings from Moody's and DBRS, respectively, and was significantly oversubscribed. The financing will be used to fulfill cloud service contracts previously signed with a leading AI enterprise, further expanding CoreWeave's high-performance AI cloud service scale. ## **Structural Design: Non-Recourse, Dual Interest Rate Tiers** This delayed draw term loan financing is structured as non-recourse, with nearly all assets of CoreWeave Compute Acquisition Co. VIII, LLC pledged as collateral and linked to relevant customer contracts. The structure has an initial borrowing limit of approximately $7.5 billion, which can be increased to $8.5 billion once the underlying assets reach a stable operating state. In terms of interest rates, the facility features two tiers: a floating rate tier priced at SOFR plus 225 basis points, and a fixed rate tier at approximately 5.9%. The loan matures in March 2032. Compared to previous financings, the improved pricing level reflects CoreWeave's continuous decrease in capital costs and overall enhancement of its credit profile. ## **Top Institutions Collaborate, Blackstone Credit Leads Investment** This transaction was advised by Mitsubishi UFJ Financial Group (MUFG) and Morgan Stanley as joint structuring advisors and joint bookrunners, with Goldman Sachs and JP Morgan acting as additional lead arrangers. According to CoreWeave's disclosure, the financing was significantly oversubscribed, with Blackstone Credit & Insurance leading the investment.
