(“Nano Dimension”) in the Delaware Court of Chancery (the “Court”), alleging that Nano Dimension has breached its obligation to use reasonable best efforts to obtain regulatory approval as soon as practicable in connection with the merger agreement between the parties (the “Merger Agreement”).
