Guolian Minsheng Securities has completed its major merger and acquisition activities after nearly two years, finally "successfully concluding" in the spring of 2025. On the afternoon of February 10, the company announced that, upon its application and after processing by the Shanghai Stock Exchange, the abbreviation of its A-share securities will change from "Guolian Securities" to "Guolian Minsheng" starting February 14, 2025, while the A-share securities code will remain unchanged. The announcement stated that based on the strategic development needs of the company, and to ensure that the abbreviation of the company's securities more comprehensively and accurately reflects the company's basic situation and future development plans, the company intends to change its A-share securities abbreviation from "Guolian Securities" to "Guolian Minsheng," while the A-share securities code "601456" remains unchanged. Guolian Minsheng Securities also stated that this change in the securities abbreviation does not involve any changes to its main business, aligns with the company's strategic planning and overall interests, and does not involve using the change in securities abbreviation to affect the company's stock price or mislead investors, nor does it harm the interests of the company and minority shareholders. The acquisition of Minsheng Securities by Guolian Securities was a bidding event in 2023. At that time, 3.471 billion shares of Minsheng Securities (accounting for 30.30% of the total share capital) were put up for auction. Ultimately, after 162 rounds of bidding, the aforementioned shares were successfully won by Wuxi Guolian Development Group (hereinafter referred to as "Guolian Group"). The transaction price was 9.105 billion yuan, a significant increase from the starting price of 5.865 billion yuan. Since Guolian Group is also the controlling shareholder of Guolian Securities, the result of this auction indicates that Guolian Securities and Minsheng Securities are ultimately heading towards a merger. Subsequently, on April 25, 2024, Guolian Securities officially released a suspension announcement regarding the planning of a major asset restructuring, announcing that it would acquire control of Minsheng Securities through the issuance of A-shares and raise supporting funds to accelerate the merger and restructuring. On May 14, 2024, Guolian Securities disclosed the major asset restructuring plan and released a resumption announcement. On August 8, 2024, Guolian Securities released the acquisition draft, intending to purchase a total of 99.26% of the shares of Minsheng Securities held by Guolian Group, Fengquanyu, and 43 other trading parties through the issuance of A-shares, and to raise supporting funds not exceeding 2 billion yuan. On September 27, 2024, the major asset restructuring matter was accepted by the Shanghai Stock Exchange. On December 17, 2024, the merger was approved by the restructuring committee of the Shanghai Stock Exchange, becoming the first broker merger and restructuring project to pass after the new "Guo Jiu Tiao" regulations. On December 26, 2024, the China Securities Regulatory Commission completed the registration. On December 30, 2024, Minsheng Securities issued the "Equity Certificate of Minsheng Securities Co., Ltd." to Guolian Securities and has registered Guolian Securities in its shareholder register. From that day, Guolian Securities became the controlling shareholder of Minsheng Securities, holding 99.26% of its shares. On January 13, 2025, Guolian Securities announced the change of its company name, thus Guolian Minsheng Securities was born On February 14, 2025, the A-share abbreviation of the company will also be changed, and A-share Guolian Securities will ultimately be renamed Guolian Minsheng.
