NAMESON HLDGS proposes to appoint Sun Baoyuan as an independent non-executive director
NAMESON HLDGS announced that Mr. Jian Songnian will resign as an independent non-executive director at the shareholders' annual general meeting on September 29, 2025, as he wishes to devote more time to other matters. The board recommends appointing Mr. Sun Baoyuan as an independent non-executive director to fill Mr. Jian's vacancy, subject to shareholder approval. If approved, Mr. Sun will serve as the chairman of the remuneration committee and a member of the audit committee and nomination committee
According to the announcement from NAMESON HLDGS (01982), Mr. Jian Songnian will resign at the company's annual general meeting for shareholders to be held on September 29, 2025, in accordance with the company's articles of association. Mr. Jian has informed the board that he wishes to devote more time to other matters, and therefore he has decided not to seek re-election at the annual general meeting. Following the conclusion of the annual general meeting, Mr. Jian will step down as an independent non-executive director and will no longer serve as the chairman of the board's remuneration committee or as a member of the audit committee and nomination committee.
Due to Mr. Jian's impending resignation, the board has proposed the appointment of Mr. Sun Baoyuan as an independent non-executive director to fill the temporary vacancy on the board following Mr. Jian's resignation, effective from the conclusion of the annual general meeting, subject to shareholder approval. Upon approval of his appointment as an independent non-executive director, Mr. Sun will also serve as the chairman of the remuneration committee and as a member of the audit committee and nomination committee
