NEW GONOW RV failed to timely disclose notes and fund subscription transactions

NEW GONOW RV (00805.HK) announced that its wholly-owned subsidiary Regent RV PTY LTD subscribed to US dollar bond-linked notes issued by Oakwise Special Investment II Limited on February 11, 2025, with a subscription amount of USD 9 million, and on the same day subscribed to participation shares of Apollo Multi-Asset Growth Fund, with a subscription amount of USD 6.4 million. Given that the subscription matters are of a short-term nature, possess safety, principal protection, or liquidity, the subscriber mistakenly regarded the nature of the subscription matters as similar to short-term interest-bearing deposits and did not disclose the subscription matters, resulting in the company violating the listing rules regarding declaration and announcement as stipulated in Chapter 14 of the listing rules.

The company's board of directors reiterated that there was no intention to cause such violations. The board emphasized that the group always considers compliance with listing rules as a top priority and has immediately taken remedial measures, including issuing an announcement, promptly assessing and evaluating the possibility of redeeming the subscription matters, and resolving to appoint an external independent internal control consultant to conduct an internal control review. In the future, the company will continue to optimize its internal control policies and make timely appropriate disclosures to ensure compliance with listing rules
