ST Huarong: Warning issued for failure to announce change of controlling shareholder

*ST Huarong announced that on September 11, 2025, it received a warning letter from the Hubei Securities Regulatory Bureau. Previously, the controlling shareholder Zhejiang Hengshun and its concerted party Shanghai Tianji signed a share transfer agreement with Hainan Bocheng, transferring 25.01% of their shares to Hainan Bocheng, making Hainan Bocheng the new controlling shareholder of *ST Huarong, with the actual controller changing to Lin Mushun. However, Hainan Bocheng did not announce the detailed equity change report verified by the financial advisor as required, nor did it hire a financial advisor, violating relevant regulations. The Hubei Securities Regulatory Bureau decided to issue a warning letter to Hainan Bocheng and its executive partner Lin Mushun, and record it in the integrity file of the securities and futures market
