TOP FORM INT'L announced that Mr. Liang Yinghua will retire as an independent non-executive director at the end of the shareholders' annual general meeting on December 30, 2025, due to reaching retirement age. The board recommends appointing Mr. Frederic Robert Francis Lemoine as the new independent non-executive director, effective upon approval at the shareholders' meeting. Mr. Lemoine will serve as a member of the Audit Committee, Remuneration Committee, and Nomination Committee
According to the announcement from TOP FORM INT'L (00333), Mr. Liang Yinghua will retire from his position as an independent non-executive director at the conclusion of the company's annual general meeting to be held on December 30, 2025, due to reaching retirement age and wishing to spend more time with his family. He will not stand for re-election. After his retirement, Mr. Liang will no longer serve as the chairman of the company's audit committee and will also step down as a member of the company's remuneration committee and nomination committee.
After considering the recommendations from the nomination committee, the board proposes to appoint Mr. Frederic Robert Francis Lemoine as an independent non-executive director at the annual general meeting to fill the vacancy left by Mr. Liang's retirement. The proposed appointment of Mr. Lemoine is subject to approval by shareholders at the annual general meeting through an ordinary resolution, and if approved, the appointment will take effect at the conclusion of the annual general meeting.
