(“D&B”), formerly NYSE: DNB and now a portfolio company of Clearlake Capital Group, L.P. The suit involves D&B’s misappropriation of Tropare’s Confidential Information and Intellectual Property related to Tropare’s proprietary Data Selection Tool (“DST”).The ruling establishes that D&B breached its contractual obligations to Tropare in connection with the companies’ prior partnership, which deployed Tropare’s DST to support shared customers.In a comprehensive 15-page Statement of Reasons accompanying the Order, The Honorable Keith E. Lynott, J.S.C., concluded that the undisputed record “establishes conclusively a breach of contract by D&B.” Judge Lynott found that no rational factfinder could reach a different conclusion, citing D&B’s own internal documents and video evidence as clear proof of the breach.According to the Court, D&B personnel operated and examined Tropare’s DST not to service the companies’ shared customer, Sprint, but to support D&B’s internal efforts to develop and validate a competing tool intended to replace Tropare’s technology. Sprint has since merged with T-Mobile US, Inc.
